Business Crisis:
A business crisis can be a natural phase in the corporate life cycle, but it rapidly becomes "pathological" when economic, financial or organisational imbalances are not managed promptly. SogesaNext supports entrepreneurs, management and supervisory bodies of SMEs and corporate groups in crisis management through a structured approach focused on business continuity and asset protection
We intervene throughout the entire process - from preventive diagnosis to the selection of the most appropriate tool, through to the operational management of relations with banks, suppliers and other stakeholders, before, during and after the procedure. In particular, we support companies in building a clear and verifiable information framework (cash flow analysis and debt sustainability, scenarios and monitoring systems), in defining a credible and negotiable course of action, and in preparing the documentation needed to support decisions and reduce the risk of enforcement actions and value dissipation. When the situation requires it, we also manage and oversee the Negotiated Crisis Composition, coordinating the economic, financial, accounting and organisational aspects and working in integration with the team's legal and negotiation expertise.
Main services:
Financial analysis and crisis status monitoring:
diagnosis of imbalances, interpretation of early warning signals, cash flow and debt sustainability analysis, definition of monitoring systems and periodic reports for the entrepreneur and corporate bodies.
Restructuring plans and financial measures:
preparation of the industrial and financial plan, stress tests and scenarios, definition of operational levers (margins, costs, working capital), preparation of supporting documentation for negotiations with creditors and credit institutions.
Negotiation with banks and suppliers:
preparation of the information package and negotiation materials, management of discussions at all stages (pre-procedure, procedure, post-procedure), support in implementing commitments and monitoring agreements.
Negotiated Composition:
technical and managerial assistance for accessing and conducting the process, including preparation of economic and financial documents, support in interactions with the Expert and stakeholders, and structuring of the continuity plan.
Asset protection and value preservation:
actions for safeguarding business value (operational continuity, strategic assets, margins and liquidity) and, where appropriate, evaluation and implementation of legal and asset protection instruments, handled by dedicated SogesaNext network professionals in coordination with the restructuring project.
Assistance in proceedings:
technical, accounting and documentary support in the main crisis resolution procedures and tools, with coordination of the professionals involved and oversight of execution and subsequent monitoring.
Our intervention is designed to transform a complex situation into a manageable process, with clear figures, operational priorities and structured negotiations with creditors. The activity is carried out in compliance with Legislative Decree No. 14/2019 (Code of Business Crisis and Insolvency, CCII) and the related crisis resolution tools, including the Negotiated Composition.
Over-indebtedness:
We assist consumers, professionals and small entrepreneurs in accessing and managing the over-indebtedness procedures provided by the Code of Business Crisis and Insolvency, working in integration with selected partner law firms and Crisis Composition Bodies. The objective is to transform a deadlock situation into a legally sound and sustainable process, based on complete and verifiable data, enabling a realistic solution to be proposed to creditors and, where the legal conditions are met, to obtain debt discharge.

Verification of eligibility and definition of a viable strategy.
Documentary investigation and reconstruction of the economic and asset situation.
Preparation and submission of the application and plan/proposal through the OCC, with legal coordination.
Management of interactions with creditors and proceedings before the competent authority.
Support in the execution of the approved plan and monitoring through to completion.
A guided process, with method and professional oversight, to restore order to the debt position and return to sustainable management in compliance with current regulations: Legislative Decree 14/2019 (CCII), which reorganised the framework previously set out in Law 3/2012.
